TERMS & CONDITIONS OF SALE

1. General

1.     These Terms and Conditions (“Terms”) govern all quotations, purchase orders, and invoices issued by Advancetech Controls Pvt. Ltd. (“Advancetech”).

2.     Acceptance of any quotation or placement of a purchase order by the Buyer constitutes full and unconditional acceptance of these Terms.

3.     Any deviation, amendment, or additional condition shall be valid only if expressly agreed to in writing by Advancetech.

2. Pricing and Validity

4.     All prices are quoted in Indian Rupees (INR) unless otherwise specified.

5.     Quotations shall remain valid for thirty (30) days from the date of issuance unless extended in writing.

6.     Prices are exclusive of taxes, duties, levies, freight, and insurance, which shall be borne by the Buyer at actuals.

7.     Any change in statutory levies (e.g., GST, customs duties, etc.) after the quotation date shall be to the Buyer’s account, as per applicable law.

3. Delivery

8.     Delivery schedules are indicative and subject to material availability, statutory clearances, and prevailing logistics conditions.

9.     Title and risk in the goods shall pass to the Buyer upon dispatch from Advancetech’s premises or as per agreed Incoterms.

10. Any delay attributable to the Buyer — including pending advance payments, delayed purchase order approval, or lack of site readiness — shall proportionately extend the delivery schedule without liability to Advancetech.

11. Advancetech shall not be liable for delays arising from third-party carriers, customs authorities, or events beyond its reasonable control.

4. Payment Terms (MSME Compliant)

12. Payments shall be made strictly as per the terms stated in the quotation or purchase order.

13. Delayed payments shall be deemed a violation under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.

14. As per Sections 15 and 16 of the Act, any payment delayed beyond forty-five (45) days from the date of invoice or delivery (whichever is earlier) shall attract compound interest with monthly rests at three times the RBI Bank Rate.

15. Ownership of goods shall remain with Advancetech until full and final payment is received.

16. Advancetech reserves the right to suspend further supplies or services in the event of payment default, without any liability.

5. Installation and Commissioning

17. Installation, commissioning, or training services are excluded unless explicitly stated in the quotation or contract.

18. Where included, such services shall be executed in accordance with Advancetech’s and the OEM’s prescribed procedures and documentation.

19. The Buyer shall ensure complete site readiness, including required civil, electrical, and environmental preparations, prior to installation.

20. Any delay due to site non-readiness shall entitle Advancetech to reschedule the service or levy additional charges.

6. Warranty

21. Hardware: One (1) year from the date of supply, subject to the respective OEM’s warranty terms unless otherwise specified.

22. Software: No warranty is applicable.

23. Make in India Products: Warranty shall be governed by Advancetech’s standard warranty policy. For OEM components used within such products, the warranty shall apply as per the OEM’s terms.

24. Warranty shall become void if the product is installed, operated, or maintained contrary to OEM instructions, or is subjected to misuse, unauthorized repair, improper environmental conditions, or voltage fluctuations.

25. Warranty excludes consumables, routine wear and tear, negligence, or damages caused by natural calamities or other acts of God.

7. Returns and Cancellations

26. Orders once accepted cannot be cancelled, postponed, or modified without Advancetech’s prior written consent.

27. Returns shall be accepted only with prior written authorization and must be unused, in original packaging, and accompanied by all relevant documentation within fifteen (15) days of receipt.

28. All returned goods shall be subject to inspection and applicable restocking charges.

8. Limitation of Liability and Force Majeure

29. Advancetech’s total aggregate liability, whether in contract, tort, or otherwise, shall not exceed the invoice value of the goods or services giving rise to the claim.

30. If goods are insured under the Buyer’s scope, the Buyer must immediately notify the insurance company upon receipt of any damaged consignment to initiate inspection and claim procedures.

31. If goods are insured by Advancetech, the Buyer shall promptly inform Advancetech upon receipt of damaged goods to facilitate insurance company inspection and claim processing.

32. Advancetech shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, revenue, or data.

33. Advancetech shall not be responsible for delays or failures in performance arising from Force Majeure events, including but not limited to natural disasters, war, strikes, governmental actions, transport disruptions, or other acts beyond its reasonable control.

34. Upon the occurrence of a Force Majeure event, the delivery or performance period shall be extended for the duration of the delay.

9. Governing Law and Jurisdiction

35. All transactions shall be governed by and construed in accordance with the laws of India.

36. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at Vadodara, Gujarat, India.

37. Both parties shall endeavor to resolve disputes amicably prior to initiating any legal proceedings.

10. Export Control Compliance

38. The goods supplied under these Terms are intended solely for the Buyer’s own use.

39. Any diversion, transfer, re-export, or resale of the goods must comply with all applicable export control laws and regulations of the country of origin of the original equipment manufacturer (OEM).

40. The Buyer acknowledges and agrees that any resale or diversion in violation of such laws shall be the sole responsibility of the Buyer.

41. The Buyer shall indemnify Advancetech against any liability arising from such non-compliance.

42. The Buyer shall provide all necessary End-Use Statements and End-User Undertakings confirming lawful use and compliance with export regulations prior to shipment, if required by Advancetech or the OEM.
